Ben has a broad range of experience in assisting clients with issues relating to corporations and securities law, with a particular focus on public and private capital raisings, mergers and acquisitions and restructures.

Ben has assisted clients across a range of sectors including financial services, life sciences, technology, food and agribusiness, health, and resources. This has included acting for ASX listed and large unlisted public companies, small to large proprietary companies and owner managed businesses.

Ben is originally from the UK and is also admitted as a lawyer in England and Wales.

Ben’s work includes assisting clients with:

  • capital raisings (both IPOs and secondary raisings - including placements, rights issues and share purchase plans)
  • unregulated mergers and acquisitions, including due diligence and deal implementation
  • corporate reconstructions, including via Court approved schemes of arrangement
  • advice on directors’ duties, and
  • advice on general corporate governance issues.

Recent matters have included:

  • IPOs for Over the Wire Holdings Limited, OtherLevels Holdings Limited, Anatara Lifesciences Limited, and Delta SBD Limited
  • the $43.7 million acquisition of Chambers Travel (UK/Europe) and $8.9 million acquisition of Diplomat Travel (USA) by Corporate Travel Management Limited, coupled with a $45.5 million renounceable entitlement offer
  • other secondary capital raisings for Viralytics Limited, Tissue Therapies Limited, Invion Limited, Centrepoint Alliance Limited, Imugene Limited and King Island Scheelite Limited
  • an acquisition scheme of arrangement by Centrepoint Alliance Limited to acquire the minority holdings in two of its dealer group businesses, and
  • the back door listings of Biolife Science Qld Ltd into ASX listed Imugene Limited and Pathway Oncology Pty Ltd into ASX listed Virax Holdings Limited.
